4. Ownership of SAPER Content
Unless otherwise indicated, SAPER and its licensors retain ownership of the intellectual property rights in content, materials, software, designs, branding, graphics, text, logos, interfaces, and other materials made available through SAPER digital properties.
Nothing in these Terms of Use transfers ownership of SAPER intellectual property to you.
Subject to these Terms of Use, SAPER grants you a limited, non-exclusive, non-transferable, revocable right to access and use publicly available SAPER content for personal or internal business purposes.
You may not reproduce, republish, distribute, modify, sell, license, commercially exploit, or create derivative works from SAPER content without appropriate authorization, except where permitted by applicable law.
5. SAPER Trademarks
SAPER names, logos, product names, platform names, brand names, service names, and related marks may constitute trademarks or other proprietary rights of SAPER or their respective owners.
You may not use SAPER trademarks in a manner that falsely suggests sponsorship, endorsement, affiliation, partnership, or authorization without permission.
6. Third-Party Content and Services
SAPER digital properties may contain links to third-party websites, applications, services, products, or resources.
Third-party services are operated independently from SAPER.
SAPER does not control third-party websites or services and is not responsible for their content, availability, policies, practices, or security.
Your use of a third-party service may be subject to that provider's own terms and policies.
7. Information and Educational Content
SAPER may publish articles, guides, educational materials, calculators, tools, opinions, examples, and other informational resources.
Such materials are provided for general informational purposes and should not be interpreted as professional, financial, legal, medical, accounting, tax, investment, or other specialized advice unless expressly identified as such and provided under an applicable professional engagement.
Information may become outdated or may not apply to your particular circumstances.
You are responsible for determining whether information is appropriate for your situation and for obtaining professional advice where appropriate.
Additional limitations may be provided in SAPER's Disclaimer.
8. Availability and Changes
SAPER may modify, update, suspend, restrict, or discontinue any portion of a digital property, including content, features, functionality, or availability.
SAPER does not guarantee that a digital property will always be available, uninterrupted, secure, error-free, or free from defects.
SAPER may perform maintenance, upgrades, security measures, or other operational activities that temporarily affect availability.
9. Accounts and Credentials
Some SAPER services may require an account.
Where an account is required, you are responsible for:
- Providing accurate information
- Maintaining the confidentiality of your credentials
- Taking reasonable steps to protect your account
- Not sharing credentials in an unauthorized manner
- Promptly notifying SAPER of suspected unauthorized access
You are responsible for activity occurring through your account to the extent permitted by applicable law.
Additional account requirements may be established by the terms applicable to the specific SAPER product or service.
10. Privacy
SAPER's collection, use, disclosure, protection, and retention of personal information are described in the Privacy Policy.
By using SAPER digital properties, you acknowledge that personal information may be handled in accordance with the applicable Privacy Policy and applicable privacy laws.
11. Cookies
SAPER may use cookies and similar technologies on its websites and digital properties.
Information about these technologies and available controls is provided in the Cookie Policy.
12. Communications
When you contact SAPER or otherwise communicate with us, you agree to provide information that is reasonably accurate and sufficient for us to respond to your request.
Commercial electronic communications are subject to applicable laws and SAPER's applicable communication practices.
You may unsubscribe from marketing communications using the unsubscribe mechanism provided in the applicable communication.
13. Payments and Transactions
Certain SAPER digital properties may provide access to products, services, subscriptions, or other transactions.
Where a transaction is offered, additional terms may apply, including terms concerning:
- Pricing
- Taxes
- Billing
- Renewals
- Cancellations
- Refunds
- Service delivery
- Product-specific requirements
Those terms will be provided as applicable before or during the transaction.
Nothing in these general Terms of Use is intended to replace legally required disclosures or transaction terms.
14. Customer and SaaS Services
These Terms of Use do not constitute a complete customer service agreement for SAPER SaaS products or other contracted services.
SAPER may provide separate agreements governing customer subscriptions, licensing, implementation, support, service levels, billing, data processing, and other commercial matters.
Where you enter into a separate agreement with SAPER, that agreement will govern the applicable service or transaction to the extent of any conflict with these Terms of Use.
15. Copyright Complaints
If you believe that material made available through a SAPER digital property infringes your copyright or other intellectual property rights, please contact SAPER through the SAPER Contact page with sufficient information for the matter to be reviewed.

- Introducing malicious software
- Exploiting vulnerabilities without authorization
- Interfering with service availability
- Attempting to access information belonging to another user
If you identify a potential security vulnerability affecting a SAPER digital property, please report it through the SAPER Contact page rather than attempting to exploit it.
17. Disclaimer of Warranties
To the maximum extent permitted by applicable law, SAPER digital properties and publicly available content are provided on an "as available" and "as is" basis.
SAPER does not represent or warrant that:
- Content will always be accurate, complete, current, or suitable for a particular purpose
- Services will always be available or uninterrupted
- Digital properties will be free from errors or defects
- Digital properties will be free from harmful components
- Information or content will meet your particular requirements
Nothing in these Terms of Use excludes or limits a warranty, representation, right, or remedy that cannot lawfully be excluded or limited.
18. Limitation of Liability
To the maximum extent permitted by applicable law, SAPER will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of a SAPER digital property.
This may include loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings.
Nothing in these Terms of Use excludes or limits liability where doing so would be prohibited by applicable law.
Where you purchase products or services from SAPER, any applicable limitation of liability will be governed by the specific agreement or terms applicable to that transaction, subject to applicable law.
19. Indemnification
To the extent permitted by applicable law, you agree to be responsible for losses, claims, liabilities, damages, and reasonable costs arising from your unlawful use of a SAPER digital property or your violation of these Terms of Use or the rights of another person.
This section does not apply to the extent that the applicable loss or claim results from SAPER's own unlawful conduct or from circumstances where such an allocation of responsibility is prohibited by applicable law.
20. Suspension and Termination
SAPER may restrict or suspend access to a digital property where reasonably necessary to:
- Protect security
- Prevent abuse or unlawful activity
- Protect users or third parties
- Protect SAPER's systems or services
- Comply with legal obligations
- Enforce these Terms of Use
Where appropriate, SAPER may provide notice or an opportunity to address the issue.
Suspension or termination of access does not affect rights or obligations that by their nature should survive.
21. Changes to These Terms
SAPER may update these Terms of Use from time to time.
When changes are made, SAPER will update the Last Updated date at the top of this document.
Where required by applicable law, SAPER will provide additional notice or obtain consent for material changes.
Your continued use of the applicable SAPER digital property after updated Terms of Use become effective constitutes acceptance of the updated terms to the extent permitted by law.
22. Governing Law
These Terms of Use are governed by the laws applicable in the province of British Columbia and the federal laws of Canada applicable therein, except to the extent that applicable law requires otherwise.
The application of conflict-of-law principles is excluded to the extent permitted by law.
Nothing in these Terms of Use is intended to remove or restrict any mandatory rights or protections that apply to you under applicable consumer-protection legislation or other applicable law.
23. Consumer Rights
Nothing in these Terms of Use is intended to limit, waive, or exclude rights or protections that cannot lawfully be limited, waived, or excluded under applicable law.
Where a consumer transaction is governed by mandatory consumer-protection legislation, those statutory requirements will apply.
24. Severability
If any provision of these Terms of Use is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the extent necessary to make it enforceable where legally permitted.
If it cannot be made enforceable, the provision will be severed to the minimum extent necessary, and the remaining provisions will continue to apply.
25. No Waiver
A failure by SAPER to enforce a provision of these Terms of Use does not constitute a waiver of that provision or SAPER's right to enforce it later.
26. Entire Agreement
These Terms of Use, together with any policies or additional terms expressly incorporated by reference, constitute the general terms governing your use of the applicable SAPER digital property.
Specific products, services, subscriptions, or transactions may be governed by additional agreements or terms.
27. Contact
Questions regarding these Terms of Use may be submitted through the SAPER Contact page.
